Leeg Pilot Program Terms of Use

These Leeg Pilot Program Terms of Use (the "Agreement" or these "Terms") govern access to and use of the Leeg online platform and related services made available by Leeg Group Inc. ("Leeg", "we", "us", or "our") as part of a limited pilot or testing program (the "Pilot Program").

In addition to your agreement Leeg's website and portal Terms and Conditions, and Leeg's Privacy Policy, by creating an account, clicking "I agree", or otherwise accessing or using the Leeg platform in connection with the Pilot Program, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Leeg platform or participate in the Pilot Program. In addition, you

If you are accessing or using the Leeg platform on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case "you" and "User" will refer to such entity and its authorized users.


1. Definitions

For purposes of these Terms:

"Affiliate" means, with respect to a party, any entity that directly or indirectly controls, is controlled by, or is under common control with such party, where "control" means ownership of more than fifty percent (50%) of the voting interests of such entity.

"Confidential Information" has the meaning set out in Section 14.1.

"Derived Data" means anonymized and/or aggregated data derived from or based on User Data or your use of the Leeg Services, which does not directly identify and cannot reasonably be used to identify you.

"Feedback" means any feedback, suggestions, ideas, or proposals you provide regarding the Leeg Services.

"Leeg Services" means the generally available, online, web-based applications, tools, features, and related services that Leeg makes available as part of the Pilot Program via a secure login (the "Leeg Platform"), including any updates and modifications thereto that Leeg may provide from time to time.

"Personal Information" means information about an identifiable individual within the meaning of applicable privacy laws, which, for purposes of the Pilot Program, primarily includes your email address, password, and any personal information you choose to include in User Data.

"User" means any individual who creates an account or is otherwise authorized to access or use the Leeg Services under these Terms.

"User Account" means a unique account established by or for a User to enable access to and use of the Leeg Services.

"User Data" means any data, information, text, reflections, responses, or other content that you submit, upload, input, or otherwise make available through the Leeg Services, including but not limited to career-related information, survey responses, personal reflections, and any other materials you choose to provide.


2. Purpose and Nature of Pilot Program

2.1 Pilot Only; No Production Warranty.

The Leeg Services are being made available to you solely as part of a limited pilot and evaluation program. The Leeg Services in the Pilot Program are experimental, may contain errors or defects, and are provided for testing, feedback, and evaluation purposes only.

2.2 No Guarantee of Availability.

Leeg may, in its sole discretion and at any time, modify, suspend, or discontinue any aspect of the Leeg Services or the Pilot Program, with or without notice and without liability to you.

2.3 No Fees for Pilot.

During the Pilot Program, Leeg provides access to the Leeg Services at no monetary charge. Leeg reserves the right, in its sole discretion, to introduce paid subscriptions or fees for continued or expanded use of the Leeg Services in the future, under separate terms.


3. Acceptance of Terms

3.1 By creating a User Account or accessing or using the Leeg Services, you:

(a) agree to be bound by these Terms;

(b) consent to the collection, use, and disclosure of Personal Information as described in these Terms and Leeg's Privacy Policy;

(c) agree to be bound by Leeg's website/portal Terms and Conditions; and

(d) represent and warrant that you have the legal capacity and authority to enter into and be bound by these Terms.

3.2 If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Leeg Services and close your User Account.


4. Eligibility; User Accounts and Security

4.1 Eligibility.

You must be (i) at least the age of majority in your jurisdiction of residence, or (ii) at least the minimum age required by applicable law to provide valid consent to use online services, in order to participate in the Pilot Program and use the Leeg Services.


4.2 Account Creation.

To access the Leeg Services, you must create a User Account by providing a valid email address, a secure password, and any other information requested by Leeg. You agree to provide true, accurate, current, and complete information and to update such information as necessary to keep it accurate and complete.


4.3 Account Security.

You are solely responsible for:

(a) maintaining the confidentiality and security of your login credentials;

(b) all activities that occur under your User Account; and

(c) notifying Leeg promptly at info@leegworks.com if you become aware of, or reasonably suspect, any unauthorized use of your User Account or any other security incident.

Leeg is not liable for any loss or damage arising from your failure to comply with this Section.


5. Description of Leeg Services

5.1 Leeg Platform.

Subject to these Terms, Leeg grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Leeg Services during the Pilot Program for your personal, non-commercial use, solely for the purpose of exploring and engaging with the tools, exercises, and reflections offered on the Leeg Platform.


5.2 Changes to Leeg Services.

Leeg may, in its sole discretion, add, modify, or remove features or functionality of the Leeg Services at any time, including as part of the development and improvement of the platform.


6. User Responsibilities and Acceptable Use

6.1 Compliance with Laws.

You agree to use the Leeg Services in compliance with all applicable local, provincial, national, and international laws, rules, and regulations, including those relating to privacy, data protection, and the use of online services.


6.2 Prohibited Conduct.

You agree that you will not, and will not attempt to:

(a) sell, lease, rent, license, distribute, or otherwise commercially exploit the Leeg Services or any component thereof;

(b) decompile, reverse engineer, disassemble, or otherwise attempt to derive source code or underlying ideas or algorithms of the Leeg Services, except to the extent such restrictions are prohibited by applicable law;

(c) copy, modify, or create derivative works based on the Leeg Services, except as expressly permitted by these Terms;

(d) access or use the Leeg Services to build a competing product or service or for any benchmarking or competitive purposes;

(e) interfere with or disrupt the integrity, performance, or security of the Leeg Services or any related systems, networks, or data;

(f) transmit or store any viruses, worms, malware, or other harmful or malicious code;

(g) use the Leeg Services to transmit, store, or display any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable, or that infringes or misappropriates the rights of any third party;

(h) submit, upload, or share Personal Information of any third party without their lawful consent; or

(i) attempt to gain unauthorized access to any portion of the Leeg Services, other accounts, or computer systems or networks connected to the Leeg Services; or

(j) make any public statements, press releases, social media posts, blog posts, or other announcements regarding your participation in the Pilot Program, the Leeg Services, or any features, functionality, or performance thereof, without Leeg's prior written consent, which may be granted or withheld in Leeg's sole discretion.


6.3 Personal Reflections and Sensitive Information.

You understand and acknowledge that the Leeg Services may invite you to provide personal reflections and career-related information. You are solely responsible for the nature and content of the information you choose to provide and agree that you will not:

(a) include highly sensitive identifiers (such as government identification numbers, financial account numbers, or health record numbers);

(b) disclose confidential information of your employer or any other third party without proper authorization; or

(c) include Personal Information about others unless you have their explicit consent and doing so is lawful.


7. Ownership; License to Leeg

7.1 Ownership of Leeg Services.

As between you and Leeg, Leeg and its Affiliates exclusively own and will retain all right, title, and interest, including all intellectual property rights, in and to:

(a) the Leeg Services and the Leeg Platform;

(b) all software, technology, tools, interfaces, designs, and documentation relating to the Leeg Services; and

(c) all improvements, enhancements, modifications, and derivative works thereof.

No rights are granted to you under these Terms other than the limited rights expressly set out herein.


7.2 Ownership of User Data.

As between you and Leeg, you retain all right, title, and interest in and to your User Data, subject to the licenses you grant to Leeg in this Section 7 and subject to applicable privacy laws.


7.3 License to Use User Data.

You hereby grant to Leeg and its Affiliates a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, adapt, translate, create derivative works from, display, and otherwise process your User Data for the following purposes:

(a) operating, providing, and supporting the Leeg Services and the Pilot Program;

(b) maintaining, troubleshooting, and securing the Leeg Services;

(c) improving, developing, and enhancing the Leeg Services and related offerings (including analytics, product development, and feature refinement);

(d) creating and using Derived Data; and

(e) developing, testing, training, and creating improvements, modifications, enhancements, or new features for the Leeg Services or related products and services.


7.4 Derived Data & Improvements.

Leeg may create Derived Data from User Data, provided that such Derived Data does not directly identify and cannot reasonably be used to identify you. Leeg will own all right, title, and interest in and to the Derived Data and may use it for any lawful business purpose.


You hereby assign, transfer, and convey to Leeg all right, title, and interest, including all intellectual property rights, in and to any improvements, modifications, corrections, enhancements, new features, algorithms, methodologies, or other developments that are created, derived from, suggested by, or otherwise arise from your use of the Leeg Services or your User Data, whether made by you, Leeg, or jointly. Leeg shall exclusively own all such intellectual property, and you agree to execute any documents reasonably requested by Leeg to evidence or perfect such ownership.


7.5 Feedback.

If you provide Feedback, you acknowledge and agree that:

(a) Leeg has no obligation of confidentiality with respect to the Feedback;

(b) Leeg may use and exploit the Feedback for any purpose, including improving and developing the Leeg Services, without restriction or compensation to you; and

(c) all intellectual property rights in any improvements or modifications arising from the Feedback will be owned exclusively by Leeg.


8. Privacy and Data Security

8.1 Privacy Policy.

Leeg's collection, use, and disclosure of Personal Information in connection with the Pilot Program are governed by these Terms and by the Leeg Privacy Policy, as amended from time to time. In the event of a conflict between these Terms and the Privacy Policy with respect to the scope of permitted uses of Personal Information, these Terms will prevail solely to the extent of the inconsistency, to which you acknowledge and agree.


8.2 Security Measures.

Leeg will implement and maintain reasonable administrative, technical, and physical safeguards designed to protect the security, confidentiality, and integrity of User Data. However, no method of transmission over the internet or method of electronic storage is completely secure, and Leeg does not guarantee absolute security.


8.3 Data Location; International Access.

User Data may be processed and stored in locations inside or outside of Canada. You acknowledge that by using the Leeg Services, your User Data may be transferred to, and processed in, jurisdictions with different data protection laws than those that apply in your home jurisdiction.


8.4 Passwords.

Leeg stores User Account passwords using industry-standard encryption practices and will not intentionally make your password accessible to its personnel. You remain responsible for maintaining the confidentiality of your password in accordance with Section 4.3.


8.5 Data Retention and Deletion.

Leeg may retain User Data for as long as reasonably necessary to operate the Pilot Program and the Leeg Services, comply with legal obligations, resolve disputes, and enforce these Terms. Leeg may delete or anonymize User Data after the conclusion of the Pilot Program or after a period of inactivity. You may request deletion of your User Account and associated User Data by contacting info@leegworks.com, subject to legal and operational requirements.


9. Artificial Intelligence and Automated Processing

9.1 AI Use.

Leeg may use artificial intelligence and machine learning technologies ("AI") in connection with the operation, maintenance, and improvement of the Leeg Services. This may include analyzing User Data and Derived Data to:

(a) provide personalized suggestions, insights, or content;

(b) improve the accuracy and performance of tools and features;

(c) detect and prevent misuse or security incidents; and

(d) develop new functionality or services.


9.2 Safeguards.

Leeg will implement reasonable and appropriate safeguards to protect the confidentiality and integrity of User Data used in or produced by AI systems.


9.3 No Automated Decision-Making with Legal Effects.

Leeg does not use AI within the Pilot Program to make automated decisions that produce legal or similarly significant effects on you.


10. No Professional Advice

10.1 You acknowledge and agree that the Leeg Services, including any content, tools, insights, prompts, or suggestions made available on or through the Leeg Platform:

(a) are provided for informational and educational purposes only;

(b) do not constitute legal, tax, accounting, financial, medical, psychological, or other professional advice; and

(c) should not be relied upon as a substitute for professional judgment or independent decision-making.


10.2 You are solely responsible for evaluating and applying any information obtained through the Leeg Services to your own circumstances, and you agree that Leeg has no responsibility for any decisions or actions you take (or do not take) based on the Leeg Services.


11. Disclaimers

11.1 "As-Is" Basis.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LEEG SERVICES AND THE PILOT PROGRAM ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.


11.2 No Warranties.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEEG EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING ANY WARRANTIES OR CONDITIONS OF:

(a) MERCHANTABILITY;

(b) FITNESS FOR A PARTICULAR PURPOSE;

(c) NON-INFRINGEMENT;

(d) TITLE;

(e) QUIET ENJOYMENT; and

(f) ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.


11.3 No Guarantee of Availability or Accuracy.

Leeg does not warrant that the Leeg Services will be uninterrupted, timely, secure, error-free, or free of harmful components, nor does it warrant that any information or content obtained through the Leeg Services will be accurate, complete, or reliable.


12. Limitation of Liability

12.1 Exclusion of Certain Damages.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LEEG OR ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR REPRESENTATIVES, BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:

(a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

(b) LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR

(c) BUSINESS INTERRUPTION OR OTHER INTANGIBLE LOSSES,


ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE LEEG SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, EVEN IF LEEG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


12.2 Cap on Liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEEG'S AGGREGATE, CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE LEEG SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).


12.3 Basis of the Bargain.

You acknowledge and agree that the limitations of liability set forth in this Section 12 are an essential basis of the bargain between you and Leeg, and that Leeg would not be able to provide the Leeg Services as part of the Pilot Program without such limitations.


13. Indemnity

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Leeg and its Affiliates, and their respective directors, officers, employees, and agents, from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

(a) your breach of these Terms;

(b) your misuse of the Leeg Services; or

(c) any User Data you submit, including any allegation that such User Data infringes, misappropriates, or violates any intellectual property, privacy, or other rights of a third party.


Leeg reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Leeg in asserting any available defences.


14. Confidentiality

14.1 Definition.

"Confidential Information" means any non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") in connection with these Terms that is designated as confidential or that should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, the Leeg Services (including non-public features), business plans, technical information, product roadmaps, and any non-public User Data.


14.2 Obligations.

The Receiving Party will:

(a) use Confidential Information solely as necessary to perform its obligations or exercise its rights under these Terms;

(b) not disclose Confidential Information to any third party except as permitted in these Terms; and

(c) protect Confidential Information using at least the same degree of care that it uses for its own confidential information of a similar nature, and in no event less than reasonable care.


14.3 Permitted Disclosures.

Leeg may disclose User Confidential Information to its employees, contractors, Affiliates, and service providers who have a need to know such information for purposes consistent with these Terms and who are bound by confidentiality obligations no less protective than those set out in this Section 14.


14.4 Exclusions.

Confidential Information does not include information that:

(a) is or becomes generally available to the public through no fault of the Receiving Party;

(b) was lawfully in the Receiving Party's possession prior to disclosure by the Disclosing Party;

(c) is lawfully disclosed to the Receiving Party by a third party without restriction; or

(d) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.


14.5 Compelled Disclosure.

The Receiving Party may disclose Confidential Information if required to do so by law, regulation, or valid legal process, provided that, to the extent legally permitted, the Receiving Party gives the Disclosing Party prompt notice and cooperates (at the Disclosing Party's expense) with any efforts to seek protective measures.


15. Term and Termination

15.1 Term.

These Terms become effective on the date you first create a User Account or otherwise access the Leeg Services and will continue in effect until terminated in accordance with this Section 15.


15.2 Termination by You.

You may terminate these Terms at any time by discontinuing use of the Leeg Services and requesting closure of your User Account via info@leegworks.com.


15.3 Termination by Leeg.

Leeg may, in its sole discretion and without liability to you:

(a) suspend or terminate your access to the Leeg Services or your User Account at any time, with or without cause, and with or without notice; and/or

(b) terminate the Pilot Program or these Terms in whole or in part.


15.4 Effect of Termination.

Upon termination of these Terms for any reason:

(a) your right to access and use the Leeg Services will immediately cease;

(b) Leeg may deactivate or delete your User Account; and

(c) Leeg may delete User Data in accordance with Section 8.5.


15.5 Survival.

Sections 1, 3.2, 6, 7, 8, 9, 10, 11, 12, 13, 14, 15.4, 15.5, and 16–18, together with any other provisions which by their nature should reasonably survive termination, will survive termination of these Terms.


16. Governing Law and Jurisdiction

16.1 Governing Law.

These Terms and any dispute arising out of or in connection with them will be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to its conflict of law rules.


16.2 Jurisdiction.

The parties irrevocably submit to the exclusive jurisdiction of the courts of competent jurisdiction located in Calgary, Alberta, Canada, for the resolution of any disputes arising out of or relating to these Terms or the Leeg Services.


17. Changes to These Terms

Leeg may, from time to time, modify or update these Terms. When we do so, we will update the "Last Updated" date at the top of these Terms. If we make material changes, we may also provide additional notice (such as via email or an in-platform notice). Your continued use of the Leeg Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Leeg Services.


18. General

18.1 Entire Agreement.

These Terms, together with any documents expressly incorporated by reference (including the Leeg's Privacy Policy and Leeg's website Terms and Conditions), constitute the entire agreement between you and Leeg with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, and communications (whether oral or written).


18.2 Severability.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.


18.3 No Waiver.

No failure or delay by Leeg in exercising any right, power, or remedy under these Terms will operate as a waiver thereof, nor will any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof.


18.4 Assignment.

You may not assign or transfer these Terms, or any of your rights or obligations hereunder, whether by operation of law or otherwise, without Leeg's prior written consent. Leeg may assign these Terms, in whole or in part, without your consent to an Affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.


18.5 Relationship of the Parties.

Nothing in these Terms will be construed to create a partnership, joint venture, employment, or agency relationship between you and Leeg.


18.6 Notices.

Notices to Leeg under these Terms must be sent to info@leegworks.com or to such other address as Leeg may designate from time to time. Notices to you may be sent to the email address associated with your User Account or provided through in-platform messaging. Notices will be deemed given when sent by email or posted within the Leeg Services.
