1. Introduction
These Terms of Service (this "Agreement") are entered into between Leeg Inc. ("Leeg," "we," "our," or "us"), a corporation incorporated under the laws of Alberta, Canada, and you, the individual accessing or using the Leeg Platform ("you," "your," or "User").
By downloading, installing, or using the Leeg mobile application or any related services, you agree to be bound by this Agreement in full. If you do not agree, you must not access or use the Platform.
1.1 About Leeg
Leeg is a human-centric technology company building innovative tools for career development in a world of accelerating change. Our primary product is the Leeg mobile application — an AI-powered Career Operating System ("Career O/S") designed to help individuals at all career stages identify skills gaps, explore learning pathways, set career goals, and connect with opportunities. Leeg also operates a talent marketplace that connects users with employment and contract opportunities through participating employers and institutional partners, as a secondary feature of the Platform.
2. Definitions
In this Agreement, the following terms have the meanings set out below:
(a) "Platform" means the Leeg mobile application (iOS and Android), Career O/S features, talent marketplace, website, API, and all related services, content, and functionality made available by Leeg.
(b) "Career O/S" means Leeg's AI-powered Career Operating System, including personalized career path recommendations, skills assessments, micro-learning modules, goal-setting tools, and any other AI-assisted career development features made available through the Platform.
(c) "Talent Marketplace" means the opt-in feature of the Platform through which Users may make their professional profiles available to participating employers and institutional partners for employment, contract, or other work opportunities.
(d) "Subscription Plan" means a paid or free access tier available through the Platform, as described in Section 5.
(e) "Fees" means all fees payable by you to Leeg in connection with your Subscription Plan or other paid services, as set out on Leeg's pricing page or in any applicable order documentation.
(f) "Critical Communications" means communications sent by Leeg for legal, security, or operational reasons related to your Account, including data breach notifications, account security alerts, and material changes to this Agreement. Critical Communications are not marketing communications and may not be opted out of while your Account is active.
(g) "Personal Information" means personal information as defined under applicable privacy legislation, including the Alberta Personal Information Protection Act (PIPA), the Personal Information Protection and Electronic Documents Act (PIPEDA), and, for California residents, the California Consumer Privacy Act (CCPA/CPRA).
(h) "Account" means the account you create to access and use the Platform.
(i) "User Content" means any content you create, upload, submit, or transmit through the Platform, including profile information, career data, assessment responses, portfolio materials, and feedback.
(j) "External Services" means all services, products, or integrations provided by external third parties that may be made available through or in connection with the Platform.
3. Acceptance of Terms and Eligibility
3.1 How You Accept
By creating an Account, downloading the Leeg app, accessing or using any feature of the Platform, or clicking "I Agree" or any equivalent acceptance button, you confirm that:
(a) you have read and understood this Agreement and our Privacy Policy (incorporated herein by reference);
(b) you agree to be legally bound by this Agreement; and
(c) you have the legal capacity and authority to enter into this Agreement.
3.2 Age Requirement
The Platform is designed for and restricted to individuals who are 18 years of age or older. By creating an Account, you represent and warrant that you are at least 18 years old. Leeg does not knowingly collect Personal Information from individuals under 18.
In the United States, in compliance with the Children's Online Privacy Protection Act (COPPA), we do not knowingly collect Personal Information from children under 13. If we become aware that an Account has been created by a person under 18, or that we have inadvertently collected information from a child under 13, we will immediately suspend the Account and delete associated Personal Information.

3.3 Geographic Availability
The Platform is made available to users in Canada (excluding the Province of Quebec) and the United States of America. Users accessing the Platform from other jurisdictions do so at their own risk. Leeg makes no representation that the Platform complies with the laws of jurisdictions outside Canada and the United States.
4. User Account
4.1 Registration
(a) To access the full features of the Platform, you must create an Account by providing accurate, current, and complete information as requested during the registration process, including your name, email address, and any other information required.
(b) You agree to keep your Account information accurate and up to date at all times. Leeg may suspend or terminate Accounts that contain materially inaccurate information.
(c) You may not create more than one Account or create an Account on behalf of another person without their express written authorization.
4.2 Account Security
(a) You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account, whether or not authorized by you.
(b) You agree to notify Leeg immediately at privacy@leegworks.com if you become aware of any unauthorized access to or use of your Account.
(c) Leeg will not be liable for any loss or damage arising from your failure to maintain the security of your Account credentials.
4.3 Account Deletion
You may delete your Account at any time through the in-app account deletion feature located at Settings > Account > Delete Account, or by submitting a written request to privacy@leegworks.com. Account deletion is subject to the data retention provisions in our Privacy Policy. Certain data may be retained for periods required by law.
5. Subscription Plans and Billing
5.1 Available Plans
Leeg offers different options of paid Subscription Plans. By selecting a paid Subscription Plan, you agree to the Fees and billing terms associated with that plan.
5.2 Billing and Payment
(a) All Fees are stated and charged in Canadian Dollars (CAD), unless otherwise specified in your applicable Subscription Plan or order documentation.
(b) Fees are due in advance and in full at the start of each billing period. All Fees are non-refundable except as expressly stated in this Agreement or required by applicable law.
(c) Leeg uses third-party payment processors to collect and process payment. By providing payment information, you authorize Leeg and its payment processors to charge your payment method for all applicable Fees. Leeg does not store full payment card details.
(d) All Fees are exclusive of applicable taxes, levies, and duties. You are responsible for all applicable taxes on your purchase.
(e) If payment is not received when due, Leeg reserves the right to: (i) suspend your access to paid features until payment is made; (ii) charge interest on overdue amounts at the rate of 20% per annum, or the highest rate permitted by applicable law, whichever is lower; and (iii) recover reasonable costs of collection, including legal fees, if necessary.
5.3 Auto-Renewal
(a) Paid Subscription Plans automatically renew at the end of each billing period (monthly or annually, as applicable) unless you cancel before the renewal date. Your payment method will be charged automatically at the start of each new billing period.
(b) You may cancel your Subscription Plan at any time through Settings > Subscription > Cancel Plan in the app, or by contacting Leeg at support@leegworks.com. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of the period for which you have paid.
5.4 Minimum Term
Subscription Plans are continuous until cancelled, subject to a minimum committed term of three (3) months from the date of initial subscription, even if billed monthly. Cancellation requests received before the end of the minimum term will take effect at the end of the minimum term.
5.5 Price Changes
Leeg reserves the right to modify Subscription Plan pricing upon at least 30 days' prior written notice to affected subscribers. If you do not agree to a price change, you may cancel your Subscription Plan before the price change takes effect. Continued use of a paid Subscription Plan after a price change takes effect constitutes acceptance of the new pricing.
5.6 Promotions and Coupon Codes
(a) Leeg may, from time to time, offer promotions, discounts, or coupon codes ("Promotions") that may be applied to a Subscription Plan purchase, subject to eligibility criteria and any additional terms associated with the Promotion.
(b) Coupon codes must be applied at the time of purchase. They cannot be applied retroactively to existing subscriptions unless expressly stated in the Promotion terms.
(c) Leeg reserves the right to modify, suspend, or withdraw any Promotion at any time at its sole discretion, without notice. Promotions are non-transferable and have no cash value unless otherwise stated.
(d) If Leeg has reasonable grounds to believe a Promotion is being misused, abused, or applied fraudulently, Leeg may revoke the Promotion and terminate the associated Account without notice.
6. The Leeg App — Features and Services
6.1 Career O/S
The Career O/S is Leeg's core product: an AI-powered career development platform available through the Leeg app. Features include, but are not limited to:
Personalized career path mapping based on your skills, goals, and labour market data
Skills gap identification and micro-learning content recommendations
Career assessments and self-reflection tools
Goal-setting and progress tracking
AI-generated career insights and opportunity identification
The Career O/S uses automated processing of your career data and usage behaviour to generate personalized recommendations. All AI-generated content is for informational and career development purposes only. See Section 9 for AI-specific terms.
6.2 Mobile Application
The Platform is primarily accessed through the Leeg mobile application, available on iOS (Apple App Store) and Android (Google Play Store). By using the app:
(a) you acknowledge that use of the iOS version is also subject to Apple Inc.'s App Store Terms of Service, and use of the Android version is also subject to Google LLC's Google Play Terms of Service;
(b) you agree to maintain a current version of the app to ensure security updates and continued access to Platform features; and
(c) you acknowledge that Leeg may release updates, new versions, or modifications to the app from time to time, including updates that may be required for continued access. Leeg does not guarantee backward compatibility with older operating system versions.
6.3 Device Permissions
The Leeg app may request the following device permissions to enable specific features. All permissions are optional unless indicated otherwise. You may manage permissions in your device settings at any time. Disabling permissions may limit certain app functionality.

7. Trial Features and Future Services
(a) Leeg may, from time to time, make trial features, beta functionality, or new services available to Users. Trial features are provided "as-is" and may be modified or discontinued at any time without notice.
(b) Your use of any trial feature or new service is subject to this Agreement and any additional terms presented to you at the time of access. Additional terms will be incorporated into this Agreement by reference.
(c) Your decision to use the Platform is not contingent on the future delivery of any features, functionality, or services that Leeg may have described in any public statement or communication.
8. User Conduct and Usage Restrictions
8.1 Acceptable Use
You agree to use the Platform only for lawful purposes and in a manner consistent with this Agreement, applicable laws, and the spirit of Leeg's mission to support genuine career development.
8.2 Prohibited Conduct
You must not use the Platform to:
(a) post, transmit, or distribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, invasive of another person's privacy, hateful, or otherwise objectionable;
(b) impersonate any person or entity, or falsely state or misrepresent your identity, qualifications, or affiliation with any person or entity;
(c) forge headers or otherwise manipulate identifiers to disguise the origin of content transmitted through the Platform;
(d) transmit unsolicited commercial communications, spam, chain letters, or other unauthorized solicitations;
(e) post or transmit content that you do not have the right to transmit under any law or under contractual or fiduciary obligations, including confidential or proprietary information obtained through employment relationships or non-disclosure agreements;
(f) collect or harvest Personal Information about other Users without their express consent;
(g) upload, transmit, or distribute malicious code, viruses, spyware, or any other harmful software or data;
(h) interfere with or disrupt the Platform, its servers, networks, or security measures;
(i) attempt to gain unauthorized access to any portion of the Platform, other Users' accounts, or any systems connected to the Platform;
(j) use data mining, robots, scrapers, crawlers, or similar automated data extraction tools on the Platform;
(k) access the Platform for the purpose of building a competitive product or service, or for benchmarking, monitoring, or competitive intelligence purposes;
(l) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying logic of any part of the Platform;
(m) resell, sublicense, rent, lease, or transfer your access to the Platform to any third party; or
(n) use the Platform for any purpose that violates applicable local, provincial, national, or international law or regulation.
8.3 Consequences
Leeg reserves the right to investigate suspected violations of this Section and to take any action it deems appropriate, including: issuing a warning; suspending or terminating your Account immediately and without notice; removing content; and cooperating fully with law enforcement or regulatory authorities. Leeg will not be liable to you or any third party for any action taken in response to a violation of this Section.
You agree to pay all fines, penalties, or other charges assessed against Leeg by third parties or regulatory authorities arising directly from your violation of this Agreement.
9. AI-Powered Features and Automated Processing
9.1 Career O/S and AI Features
The Career O/S may use artificial intelligence and machine learning to generate personalized career recommendations, skills assessments, and learning pathway suggestions. These features process your career profile, assessment responses, usage data, and behavioural signals to produce outputs tailored to your stated goals and preferences.
9.2 Use of Data to Improve AI
Leeg may use your User Content and usage data, in aggregated, de-identified, or (where authorized) individually identifiable form, to operate, maintain, and improve the Career O/S and other Platform features, including to train and fine-tune AI models. This use is further described in our Privacy Policy. Where applicable law requires your consent for the use of identifiable data in AI training, Leeg will seek that consent separately.
9.3 Limitations and Disclaimers
(a) AI-generated content — including career path recommendations, skills assessments, and marketplace matches — is produced algorithmically and is provided for informational and career development purposes only. It does not constitute professional career, legal, financial, or employment advice.
(b) Leeg does not guarantee the accuracy, completeness, or suitability of any AI-generated output for your specific circumstances.
(c) You are solely responsible for any career, employment, or other decisions you make based on AI-generated content from the Platform. You should apply your own judgment and seek qualified professional advice where appropriate.
(d) Leeg will not be responsible for errors resulting from your reliance on Platform content or for any delays caused by your failure to provide accurate or complete information.
10. Intellectual Property and Ownership
10.1 Leeg's Intellectual Property
(a) All intellectual property rights in and to the Platform and its content — including but not limited to text, graphics, logos, icons, images, audio and video clips, software, algorithms, AI models, data compilations, and all Leeg-generated features and outputs (collectively, "Leeg Content") — are owned by or licensed to Leeg. These rights are protected by Canadian and US copyright, trademark, patent, trade secret, and other applicable intellectual property laws.
(b) Leeg grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your own personal, non-commercial career development purposes, subject to your compliance with this Agreement.
(c) This licence does not permit you to: (i) sublicense, sell, or transfer the Platform or any Leeg Content; (ii) copy, reproduce, distribute, or publicly display Leeg Content except as expressly authorized; (iii) modify, adapt, or create derivative works of Leeg Content; or (iv) remove any proprietary notices or labels.
10.2 Your User Content
(a) You retain ownership of your User Content. By submitting User Content to the Platform, you grant Leeg a worldwide, royalty-free, non-exclusive licence to use, host, store, reproduce, modify, transmit, publish, display, and distribute your User Content solely as necessary to: (i) operate, provide, and improve the Platform; (ii) provide the Career O/S services; and (iii) develop new features and services, including AI model improvements.
(b) You represent and warrant that your User Content does not infringe any third-party rights, violate any applicable law, or breach any contractual obligation you owe to any third party.
(c) Leeg may use aggregated, anonymized statistics and derived data generated from your use of the Platform ("Derived Data") without restriction. Leeg owns all right, title, and interest in Derived Data, provided it cannot reasonably identify you as an individual.
(d) If you provide Leeg with feedback, suggestions, or enhancement requests regarding the Platform ("Feedback"), you assign all right, title, and interest in that Feedback to Leeg. Leeg may use Feedback freely without attribution or compensation.
10.3 Trademarks
All Leeg trademarks, service marks, and trade names — including the Leeg name and logo — are the exclusive property of Leeg Inc. Nothing in this Agreement grants you any right to use Leeg's trademarks without Leeg's prior written consent.
11. Third-Party Services and External Integrations
(a) The Platform may integrate with, link to, or make available External Services from third-party providers. Leeg does not control, endorse, or guarantee any External Services, regardless of how they are presented within the Platform.
(b) Your acquisition and use of any External Service, and any exchange of data between you and an External Services provider, is solely between you and that provider and is governed by the provider's own terms and privacy policies.
(c) Leeg reserves the right to add, modify, or discontinue any External Service integration at any time without notice and without obligation to provide any refund, credit, or compensation.
(d) Leeg is not responsible for any disclosure, modification, deletion, or loss of your data resulting from your access to or use of any External Service.
(e) Leeg uses third-party service providers ("Vendors") in the ordinary course of operating the Platform, including cloud infrastructure, payment processing, analytics, and communications services. Leeg reserves the right to engage and substitute Vendors as it deems appropriate. Leeg remains responsible for the acts and omissions of its Vendors in connection with this Agreement.
12. Marketing Communications
12.1 Canadian Users — Canada's Anti-Spam Legislation (CASL)
For Users located in Canada, Leeg's commercial electronic messaging practices are governed by Canada's Anti-Spam Legislation (CASL), S.C. 2010, c. 23. CASL requires Leeg to obtain your express or implied consent before sending you marketing-related Commercial Electronic Messages (CEMs).
(a) Leeg will obtain your express consent through a clear opt-in at Account registration or at the time of subscribing to marketing communications. Consent will not be bundled with acceptance of this Agreement.
(b) Where Leeg relies on implied consent (arising from an existing business relationship), that consent is limited to two years from the date of your last transaction with Leeg, after which Leeg will seek renewed express consent before continuing to send marketing CEMs.
(c) Every marketing CEM sent by Leeg to Canadian Users will include: (i) Leeg's full legal name; (ii) Leeg's physical mailing address; and (iii) a clear and functional unsubscribe mechanism.
(d) Unsubscribe requests from Canadian Users will be processed within 10 business days of receipt, as required by CASL.
(e) You may withdraw your consent to receive marketing CEMs at any time by: (i) clicking the unsubscribe link in any Leeg marketing email; (ii) adjusting notification preferences in Settings > Notifications; or (iii) emailing privacy@leegworks.com. Withdrawal is prospective and does not affect the lawfulness of CEMs sent before withdrawal.
12.2 United States Users — CAN-SPAM Act
For Users located in the United States, Leeg's commercial email practices comply with the CAN-SPAM Act (15 U.S.C. § 7701 et seq.).
(a) All commercial emails to US Users will: (i) accurately identify Leeg as the sender; (ii) include a non-deceptive subject line; (iii) include Leeg's valid physical mailing address (1604 11th Avenue NW, Calgary, AB T2N1G9, Canada); and (iv) include a clear and conspicuous opt-out mechanism.
(b) Opt-out requests from US Users will be honoured within 10 business days of receipt.
12.3 Critical Communications
Regardless of your marketing communication preferences, Leeg retains the right to send Critical Communications to you for as long as your Account remains active and for any legally required period thereafter. Critical Communications are not subject to opt-out.
13. Privacy and Data Protection
(a) Leeg's collection, use, and disclosure of your Personal Information is governed by our Privacy Policy, which is incorporated into this Agreement by reference. We encourage you to read the Privacy Policy carefully.
(b) By using the Platform, you consent to Leeg's collection and use of your Personal Information as described in the Privacy Policy, subject to your rights under applicable privacy legislation, including: (i) Alberta PIPA and PIPEDA for Canadian Users; and (ii) the CCPA/CPRA for California residents (see Section 21).
(c) Data transferred or stored through the Platform may be processed in Canada and may be transferred to third-party service providers operating in the United States and other jurisdictions, in accordance with Leeg's Privacy Policy and applicable Canadian privacy legislation.
(d) You retain responsibility for: (i) the accuracy and legality of Personal Information and User Content you submit to the Platform; (ii) obtaining any necessary rights or consents from third parties whose information you submit; and (iii) your own compliance with applicable privacy laws in your use of the Platform.
14. Confidentiality
14.1 Definition
"Confidential Information" means any non-public information disclosed by one party to the other in connection with this Agreement that is identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure. Confidential Information includes, without limitation, Leeg's proprietary technology, product roadmap, AI models, pricing, and business information. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was already known to the Receiving Party prior to disclosure; (c) is lawfully received from a third party without restriction; or (d) is independently developed without use of or reference to the Disclosing Party's Confidential Information.
14.2 Obligations
(a) Each party agrees to use all reasonable care to prevent unauthorized disclosure of the other party's Confidential Information to any third party, and to use Confidential Information only for the purposes of this Agreement.
(b) If required by law, regulation, or court order to disclose Confidential Information, the Receiving Party will provide prompt prior written notice to the Disclosing Party (to the extent legally permitted) and reasonable cooperation in seeking confidential treatment of the information.
(c) These confidentiality obligations survive the termination or expiry of this Agreement for so long as the Receiving Party retains possession of the Disclosing Party's Confidential Information.
15. Disclaimers
(a) THE PLATFORM AND ALL CONTENT, SERVICES, AND FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LEEG EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ACCURACY. LEEG DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
(b) LEEG DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR SUITABILITY OF ANY AI-GENERATED CAREER RECOMMENDATIONS, SKILLS ASSESSMENTS, OR TALENT MARKETPLACE MATCHES. YOU ASSUME FULL RESPONSIBILITY FOR ANY CAREER, EMPLOYMENT, OR OTHER DECISIONS MADE BASED ON PLATFORM CONTENT.
(c) NOTHING ON THE PLATFORM CONSTITUTES PROFESSIONAL CAREER, LEGAL, FINANCIAL, TAX, ACCOUNTING, OR OTHER PROFESSIONAL ADVICE. LEEG IS NOT ENGAGED IN THE PROVISION OF PROFESSIONAL ADVISORY SERVICES. YOU MUST USE YOUR OWN JUDGMENT IN APPLYING ANY INFORMATION, TOOLS, OR RECOMMENDATIONS FROM THE PLATFORM TO YOUR INDIVIDUAL CIRCUMSTANCES.
(d) LEEG WILL HAVE NO RESPONSIBILITY FOR DETERMINING WHETHER YOUR PROPOSED USE OF THE PLATFORM COMPLIES WITH APPLICABLE LAWS AND REGULATIONS IN YOUR JURISDICTION.
16. Limitation of Liability
16.1 Exclusion of Indirect Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LEEG, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY DAMAGES FOR LOSS OF PROFITS, DATA, REVENUE, GOODWILL, USE, OR OTHER ECONOMIC ADVANTAGE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THIS AGREEMENT OR YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF LEEG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
16.2 Cap on Direct Damages
EXCEPT FOR YOUR BREACH OF SECTION 8 (USER CONDUCT AND USAGE RESTRICTIONS) OR SECTION 14 (CONFIDENTIALITY), THE AGGREGATE CUMULATIVE LIABILITY OF LEEG TO YOU UNDER OR IN CONNECTION WITH THIS AGREEMENT WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID OR PAYABLE BY YOU TO LEEG DURING THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00), IF NO FEES HAVE BEEN PAID.
16.3 Allocation of Risk
The parties acknowledge that the Fees payable under this Agreement reflect the allocation of risk set out in this Section, and that Leeg would not enter into this Agreement without the limitations set out herein.
16.4 Exceptions
Nothing in this Agreement limits or excludes Leeg's liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by Leeg's negligence; or (c) any other liability that cannot be excluded or limited by applicable law. For greater certainty, applicable consumer protection legislation in Canada and the US may provide you with rights that cannot be waived by contract.
17. Indemnification
(a) You agree to defend, indemnify, and hold harmless Leeg and its affiliates, subsidiaries, directors, officers, employees, agents, and licensors (collectively, "Indemnified Parties") from and against any and all claims, actions, proceedings, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to:
(i) your use of or access to the Platform;
(ii) your User Content, including any claim that your User Content infringes or misappropriates any third-party rights;
(iii) your violation of any provision of this Agreement;
(iv) your violation of any applicable law or regulation; or
(v) your combination of the Platform with any third-party equipment, devices, software, or data not authorized by Leeg.
(b) Leeg reserves the right, at your expense, to assume exclusive control of the defence of any matter subject to indemnification by you, in which case you agree to cooperate with Leeg and not to settle any such matter without Leeg's prior written consent.
(c) Your indemnification obligations survive the termination or expiry of this Agreement.
18. Term and Termination
18.1 Term
This Agreement commences on the date you first accept it and continues until terminated by either party as set out in this Section.
18.2 Termination by Leeg
Leeg may suspend or terminate your Account and access to the Platform:
(a) immediately, if you breach any provision of Section 8 (User Conduct) or Section 14 (Confidentiality) and the breach is not cured (where capable of cure) within five (5) days of written notice;
(b) immediately, if you breach any provision relating to Leeg's intellectual property rights;
(c) immediately, upon Leeg's reasonable belief that you are engaged in fraudulent, harmful, or illegal activity;
(d) immediately, if you seek protection under any bankruptcy, insolvency, or receivership proceeding, or cease to operate; or
(e) with or without cause on thirty (30) days' written notice.
18.3 Termination by You
You may terminate your Account at any time through the in-app account deletion feature at Settings > Account > Delete Account or by contacting support@leegworks.com. Termination of your Account will take effect as soon as reasonably practicable. If you have a paid Subscription Plan, you will retain access until the end of the current billing period. Except as required by applicable law, prepaid Fees are non-refundable upon termination by you.
18.4 Effect of Termination
(a) Upon termination of this Agreement for any reason, your licence to access and use the Platform immediately ceases.
(b) Leeg has no obligation to retain your Account data or User Content following the effective date of termination, except as required by applicable law and as described in the Privacy Policy.
(c) Leeg retains the right to send Critical Communications following termination for so long as legally required or necessary to conclude matters arising from your Account.
(d) Termination does not relieve you of any Fees or other obligations accrued prior to the effective termination date.
(e) The following Sections survive termination: 2 (Definitions), 9.3 (AI Limitations), 10 (Intellectual Property), 14 (Confidentiality), 15 (Disclaimers), 16 (Limitation of Liability), 17 (Indemnification), 19 (Governing Law), 20 (Dispute Resolution), 21 (California Residents), and 22 (General Provisions).
19. Governing Law
(a) This Agreement and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to conflicts of law principles. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods.
(b) The foregoing does not limit the application of mandatory consumer protection laws in the jurisdiction where you are located. In particular, California residents retain rights under the CCPA/CPRA and California consumer protection law that cannot be waived by contract (see Section 21).
20. Dispute Resolution
(a) In the event of any dispute, claim, or controversy arising out of or relating to this Agreement or the Platform (a "Dispute"), the parties agree to first attempt to resolve the Dispute informally by notifying the other party in writing and negotiating in good faith for a period of thirty (30) days from the date of notice.
(b) If the Dispute is not resolved within the thirty (30) day period, either party may refer the Dispute to binding arbitration administered by the Alberta Arbitration Centre in accordance with its Arbitration Rules then in force. The place of arbitration shall be Calgary, Alberta, Canada. The arbitration shall be conducted before a single arbitrator, in the English language.
(c) The prevailing party in any arbitration proceeding will be entitled to recover its reasonable legal fees and costs from the non-prevailing party.
(d) Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from any court of competent jurisdiction to prevent or address actual or threatened infringement, misappropriation, or violation of intellectual property rights, without waiving the right to arbitrate other claims.
(e) You agree that any Dispute must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative action. You waive any right to participate in class action litigation against Leeg.
(f) All disputes and arbitration proceedings shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada, and the parties hereby irrevocably submit to such jurisdiction.
21. California Residents — Additional Rights (CCPA/CPRA)
If you are a resident of the State of California, the following additional provisions apply to your use of the Platform. These provisions are required by the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) and supplement, but do not replace, the other terms of this Agreement.
21.1 Your California Privacy Rights
California residents have the following rights with respect to their Personal Information:
(a) Right to Know: the right to know the categories and specific pieces of Personal Information collected about you, the purposes for which it is used, and the categories of third parties with whom it is shared;
(b) Right to Delete: the right to request deletion of your Personal Information, subject to certain exceptions (including legal obligations and the need to complete your transaction);
(c) Right to Correct: the right to request correction of inaccurate Personal Information held by Leeg;
(d) Right to Opt Out: the right to opt out of the sale or sharing of your Personal Information for cross-context behavioural advertising. Leeg does not currently sell your Personal Information. If this practice changes, Leeg will implement a prominent "Do Not Sell or Share My Personal Information" mechanism before any such activity commences;
(e) Right to Limit: the right to limit the use and disclosure of sensitive Personal Information to what is necessary to provide the services; and
(f) Right to Non-Discrimination: the right not to receive discriminatory treatment for exercising any of the above rights.
21.2 How to Submit a California Privacy Request
California residents may submit privacy requests by: (a) emailing privacy@leegworks.com with "California Privacy Request" in the subject line; or (b) using the in-app privacy request feature at Settings > Privacy > My Data. Leeg will respond to verifiable consumer requests within 45 days. We may extend this period by an additional 45 days where reasonably necessary, with prior notice. We may require verification of your identity before processing your request.
California residents may designate an authorized agent to make a privacy request on their behalf by providing written authorization. Leeg may require proof of the agent's authority before processing the request.
22. General Provisions
(a) Entire Agreement. This Agreement, together with the Privacy Policy and any Subscription Plan documentation, constitutes the entire agreement between you and Leeg with respect to the Platform and supersedes all prior or contemporaneous agreements, representations, and communications.
(b) Modifications. Leeg reserves the right to modify this Agreement at any time. For material changes, Leeg will provide at least 30 days' prior written notice to your registered email address. What constitutes a material change will be determined by Leeg acting reasonably. Continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Agreement.
(c) Severability. If any provision of this Agreement is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. All remaining provisions continue in full force and effect.
(d) Waiver. Leeg's failure to enforce any right or provision of this Agreement will not constitute a waiver of that right or provision unless acknowledged in writing by Leeg.
(e) Assignment. You may not assign this Agreement or any of your rights or obligations hereunder without Leeg's prior written consent. Leeg may assign this Agreement without your consent to an affiliate, or to a successor-in-interest in connection with a merger, acquisition, or sale of assets, provided your rights are not materially diminished.
(f) Notices. Leeg may give notice to you by: (i) notification through the Platform; (ii) email to your registered address; or (iii) written communication by courier or mail. Notices are deemed given 48 hours after sending by email, or five (5) days after mailing. You may contact Leeg at privacy@leegworks.com or support@leegworks.com, or by mail to Leeg Inc., 1604 11th Avenue NW, Calgary, AB T2N1G9, Canada.
(g) Force Majeure. Neither party will be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, government action, natural disasters, pandemics, civil unrest, terrorism, or disruptions to telecommunications infrastructure, provided that the affected party: (i) promptly notifies the other party; and (ii) uses reasonable efforts to resume performance as soon as possible. Force majeure does not excuse payment obligations.
(h) Relationship of Parties. Leeg and you are independent parties. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship.
(i) Language. This Agreement is in the English language. Any translation provided is for convenience only and the English version governs in the event of inconsistency.
